Maps Group completed the acquisition of I-Tel, acquiring the remaining 30% of the share capital. This strengthens the Group’s presence in the Telemedicine and Multichannel sectors.
The agreement involves the waiver of the previous purchase and sale options (put&call), which were set to be exercised following the approval of I-Tel’s financial statements as of December 31, 2024, thus allowing for the early closure of the transaction for a total of Euro 2,123,550.00. This amount will be paid according to the following terms:
- Euro 500,000.00 from immediately available funds;
- Euro 1,623,550.00 by April 30, 2025.
The overall amount paid for this transaction is lower than what had been expected so far based on the application of the put&call option rules. The 100% acquisition of I-Tel represents a further boost for Maps Group to solidify our position in the Healthcare market, at a time when it is necessary to demonstrate greater effectiveness in the realms of Telemedicine and Multichannel approaches. These are two assets that we are focusing on with even greater determination. Responding to rapid evolution with forward-looking solutions means innovating to improve the present, as well as anticipating future problems and needs.
Anticipating the conclusion of this operation has also offered us the opportunity to finalize the acquisition of the company under more favorable conditions than those previously anticipated, thereby enhancing the Group’s financial performance in the medium term and contributing to our leadership in a strategic sector like Digital Healthcare.
